AUTORA – TERMS OF SERVICE

1. Introduction

1.1. These Terms of Service ("Terms") govern the relationship between you ("User", "you") and Autora (UK) Ltd ("Autora", "we", "us", "our") relating to your use of:

  • the Autora platform and mobile application;
  • any services provided by Autora;
  • any vehicles made available through Autora ("Vehicles").

1.2. By creating an account, paying any applicable fees, or using the Service, you agree to be legally bound by these Terms.

1.3. If you do not accept these Terms, you must not use the Autora platform or access any Vehicle.

2. Nature of the Service

2.1. Autora owns, controls, or leases all Vehicles made available through the Service. Users do not acquire any ownership, equity, lien, or beneficial interest in any Vehicle.

2.2. Users obtain a contractual licence to use a Vehicle through Autora's structured Points System and booking rules.

2.3. The Service is not a vehicle hire company, credit agreement, or investment product. It is a controlled access-to-use model governed exclusively by contract.

3. Eligibility

To use Autora, you must:

  • be at least 25 years of age unless otherwise permitted by Autora's insurers;
  • hold a full, valid UK, EU, or equivalent licence approved by our insurer;
  • pass identity, address, driving history, and risk checks;
  • maintain eligibility for Autora's insurance policy;
  • provide accurate and current information;
  • not be disqualified from driving.

Autora may refuse, suspend, or terminate your access if you do not meet eligibility criteria.

4. The Points System

4.1. Users receive an annual allocation of points ("Points"), representing usage rights for AM/PM half-day increments.

4.2. Each calendar day is divided into two bookable slots:

  • AM (02:00–13:59)
  • PM (14:00–01:59)

4.3. Points required per slot may vary according to Autora's Peak & Uplift Rules, seasonal adjustments, weekends, Bank Holidays, and special events.

4.4. Autora reserves the right to update points classifications with reasonable notice.

5. Booking Rules

5.1. Users may hold a maximum of three future bookings at any given time unless using Driveway Swap.

5.2. A booking is confirmed only when:

  • a User selects an available slot;
  • sufficient Points are available;
  • the booking is accepted by the platform.

5.3. Bookings are non-transferable except through approved platform features.

5.4. Users must return Vehicles on time. Late return may result in:

  • cancellation of the next slot;
  • restriction of booking privileges;
  • liability for costs arising from conflicts or insurance breaches.

6. Vehicle Access and Use

6.1. Users must access Vehicles only via Autora's authorised method (e.g., telematics, digital keys).

6.2. Users must:

  • follow UK law and the Highway Code;
  • drive responsibly;
  • maintain Vehicle cleanliness;
  • refuel or recharge where required;
  • report defects or damage immediately.

6.3. Users must not:

  • permit third parties to drive the Vehicle;
  • smoke or vape inside any Vehicle;
  • drive under the influence of drink or drugs;
  • use Vehicles for hire & reward, racing, off-road use, or unlawful purposes.

7. Vehicle Condition, Damage and Accidents

7.1. Users must inspect Vehicles before and after use.

7.2. All damage or issues must be reported promptly.

7.3. In the event of an accident, Users must:

  • stop immediately;
  • notify police if required;
  • not admit liability;
  • record third-party details;
  • notify Autora immediately.

7.4. Users may be liable for damage, including insurance excesses, arising from at-fault incidents or policy breaches.

8. Insurance

8.1. All Vehicles are insured under Autora's fleet motor insurance policy.

8.2. Coverage applies only when:

  • the User is authorised and eligible;
  • the User has a valid booking;
  • the User complies with these Terms and insurance rules.

8.3. Insurance may be invalidated by:

  • unauthorised drivers;
  • driving under the influence;
  • reckless or dangerous operation;
  • providing false information;
  • material breach of these Terms.

8.4. Users must pay any applicable insurance excess for at-fault or uninsured losses.

9. Fees and Cost Allocation

9.1. Sign-Up Fee

A one-time non-refundable sign-up fee applies upon account creation.

9.2. No Booking Fees

Autora charges no booking fees for AM/PM slots.

9.3. Cost Allocation for Vehicle Operations

Certain costs are shared across Users:

(a) Costs shared based on Stake/Plan level:

  • MOT
  • Insurance
  • Routine servicing

(b) Costs shared based on usage:

  • Maintenance (parts and labour)
  • Wear and tear
  • Depreciation (usage-based)

9.4. Admin Fees

Admin fees apply for:

  • processing fines and penalties;
  • Vehicle recovery only when caused by the User (e.g., towing);
  • stake transfer processing.

9.5. Fee Updates

Autora may update fees or cost allocations with one month's notice.

10. Fines, Penalties, and Tolls

10.1. You are responsible for all fines arising during your use of a Vehicle.

10.2. Autora may pay fines on your behalf where necessary and recover them, plus a Fines Processing Fee.

11. Driveway Swap

11.1. Driveway Swap allows Users to exchange usage time with other Users.

11.2. Swaps:

  • override the three-booking limit;
  • are binding once accepted;
  • must comply with insurance and booking rules;
  • do not incur admin fees unless otherwise notified.

11.3. Swaps must be fair, day-for-day or half-day-for-half-day, unless Autora implements further rules with notice.

12. Stake Marketplace

12.1. Users may buy or sell Staked Usage Licences ("Stakes") through the Autora marketplace.

12.2. Stake transfers are subject to:

  • User eligibility;
  • insurer approval;
  • payment of the stake transfer processing fee.

12.3. Autora may refuse a transfer where necessary for safety, compliance, or business integrity.

13. Telematics and Data Collection

13.1. Telematics is mandatory for all Users.

13.2. Autora collects:

  • GPS location;
  • speed, acceleration, braking and driving behaviour;
  • mileage and journey data;
  • engine diagnostics;
  • lock/unlock and start/stop events;
  • fuel/battery levels.

13.3. Data is used for:

  • booking verification;
  • security and theft prevention;
  • insurance compliance;
  • cost allocation;
  • claim investigation;
  • safety monitoring;
  • fraud prevention.

14. Suspension and Termination

Autora may suspend or terminate access immediately if you:

  • breach these Terms;
  • fail insurance checks;
  • provide false information;
  • fail to pay sums owed;
  • damage Vehicles;
  • pose a safety risk.

Users may close their accounts at any time, though fees already paid are non-refundable.

15. Limitation of Liability

15.1. Nothing excludes liability for death or personal injury caused by negligence, or any rights under UK consumer law.

15.2. Subject to the above, Autora is not liable for:

  • loss of business, income, or opportunity;
  • indirect or consequential loss;
  • losses arising from Vehicle unavailability;
  • losses resulting from a User's breach of these Terms.

15.3. Autora's liability per incident is limited to the amount paid by the User in the preceding 12 months unless required otherwise by law.

16. Variations

Autora may amend these Terms by giving one month's notice, except where immediate changes are required for:

  • legal compliance;
  • insurance compliance;
  • urgent safety or security reasons.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

19. Stake Value, Freezing and Deductions

(Fully integrated into Terms)

19.1. When a User acquires a Stake, the amount paid represents a contractual licence fee linked to a percentage of the Vehicle's Reference Value as determined solely by Autora.

19.2. A Stake does not confer ownership or investment rights of any kind.

19.3. The monetary value associated with a Stake ("Stake Value") is held by Autora as financial security.

19.4. Autora may freeze the Stake Value where:

  • the User has outstanding fines, fees, penalties, insurance excesses, or other debts;
  • damage has occurred and liability is unresolved;
  • claims are under investigation;
  • the User is subject to compliance or insurance review.

19.5. While frozen, the Stake Value cannot be sold, transferred, withdrawn, or otherwise accessed.

19.6. Upon sale or withdrawal of a Stake, Autora may deduct all outstanding amounts owed before releasing any remaining balance.

19.7. If deductions exceed the Stake Value, the User remains liable for the balance.

19.8. Users acknowledge:

  • Stake Value may rise or fall with depreciation;
  • Stake Value is not guaranteed;
  • Autora's valuations are final;
  • the Service is not a regulated investment or credit product.

19.9. Autora may refuse a stake sale or transfer where outstanding amounts remain due.
